1. Acceptance of Terms
By accessing or using Orbit ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Orbit OS, LLC ("Orbit"), a Texas limited liability company.
2. Description of Service
Orbit is an AI-powered operating system designed to help working professionals discover, build, and grow digital side businesses. We provide tools for idea generation, business planning, content creation, storefront management, payment processing, and analytics. Orbit does not guarantee any specific income, revenue, or business outcomes from use of the Platform.
3. Eligibility & User Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use of your account. Orbit reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Subscription & Payments
Orbit offers Free, Pro ($9.99/month or $99.99/year), and Max ($29.99/month) subscription tiers. Paid subscriptions automatically renew on the selected billing cycle unless cancelled. You authorize us to charge your selected payment method for all subscription fees. All fees are non-refundable except where required by law. We may change pricing with 30 days' advance notice. Your continued use after a price change constitutes acceptance of the new fees.
5. Free Trials
We may offer free trials of paid plans from time to time. At the end of a trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. You must provide a valid payment method to start a free trial. We may charge a small authorization hold to verify your payment method, which will be refunded.
6. Cancellation & Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months. If you cancel during a free trial, you will not be charged. We reserve the right to issue refunds in our sole discretion in exceptional circumstances.
7. Platform Royalty & Revenue Share
Orbit collects a platform royalty on transactions processed through the Platform: 15% on the Free plan, 10% on Pro, and 5% on Max. This royalty is deducted automatically from each sale before payout to your linked bank account. You are responsible for all taxes on your earnings. Orbit will issue 1099-K forms as required by law for US sellers meeting reporting thresholds.
8. User Content & Intellectual Property
You retain ownership of all content you create, upload, or generate using Orbit ("User Content"). By using the Platform, you grant Orbit a non-exclusive, worldwide, royalty-free license to host, display, and distribute your User Content solely for the purpose of operating and improving the Platform. You represent that you have all necessary rights to your User Content and that it does not infringe on any third party's intellectual property rights.
9. Prohibited Conduct
You agree not to: (a) use the Platform for any illegal purpose; (b) attempt to gain unauthorized access to any part of the Platform; (c) interfere with or disrupt the Platform or servers; (d) create multiple accounts to abuse free tiers; (e) sell, resell, or exploit any part of the Platform without authorization; (f) use AI-generated content to produce harmful, deceptive, or illegal materials; (g) harass, abuse, or harm another person through the Platform.
10. Copyright & DMCA
Orbit respects intellectual property rights. If you believe content on the Platform infringes your copyright, please send a DMCA takedown notice to copyright@orbitos.co with: (i) your physical or electronic signature; (ii) identification of the copyrighted work; (iii) identification of the infringing material; (iv) your contact information; (v) a statement of good faith belief; and (vi) a statement of accuracy under penalty of perjury. We will respond in accordance with the Digital Millennium Copyright Act.
11. Termination
You may delete your account at any time. Orbit reserves the right to suspend or terminate your account, with or without notice, for: violation of these Terms, fraudulent activity, non-payment, or any conduct we determine harmful to the Platform or other users. Upon termination, your right to use the Platform ceases immediately. Sections 8, 10, 12, 13, 14, and 15 survive termination.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ORBIT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSIDERED PROFESSIONAL LEGAL, FINANCIAL, OR BUSINESS ADVICE. WE ARE NOT LIABLE FOR ANY BUSINESS DECISIONS MADE BASED ON AI-GENERATED RECOMMENDATIONS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBIT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO ORBIT IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
14. Indemnification
You agree to indemnify, defend, and hold harmless Orbit and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your User Content, or your violation of these Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Houston, Texas, administered by the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.
16. Force Majeure
Orbit shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
17. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Platform at least 30 days before taking effect. Your continued use of the Platform after changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Platform and cancel your subscription.
18. Severability & Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orbit regarding the Platform and supersede any prior agreements.
